Our offerings are made outside the United States under Regulation S, an exemption from the registration requirements of the U.S. Securities Act of 1933. That exemption is conditional on the buyer not being a U.S. person, so U.S. persons cannot be accepted. Every investor confirms their non-U.S. status during onboarding and files a W-8BEN form.
